Terms of Service

1. The Platform

Fond is a software tool that helps food product developers formulate recipes, estimate nutritional values, generate nutrition facts panel formats, and create product specification documents. All outputs are estimates based on USDA database values and the data you provide.

Fond is a calculation tool, not a laboratory analysis service or regulatory compliance certifier. Nothing on the platform constitutes regulatory, legal, scientific, or nutritional advice.

2. Accounts

You agree to provide accurate registration information, keep your credentials secure, and use the platform only for lawful business purposes. If you register on behalf of a company, you represent that you have authority to bind that company to these Terms. You must be at least 18 years old to use the platform.

3. Intellectual Property

Your data: You own your formulation data. You grant Fond a limited license to store and process it solely to provide the platform’s features. This license ends when your account is closed.

Fond’s platform: All platform software, algorithms, interfaces, and non-customer content are owned by Fond or its licensors. You receive a limited, non-transferable license to use the platform during your subscription.

You may not reverse engineer the platform, build competing products using it, sublicense or resell access, or use automated means to scrape data from it.

4. Accuracy of Outputs

READ THIS SECTION. It defines your responsibilities when using Fond-generated outputs on commercial products.

All nutritional calculations, %Daily Values, nutrition facts panels, ingredient statements, allergen flags, and other outputs generated by the platform are estimates. Actual nutritional content of finished products may differ due to:

• Natural variation in ingredient composition between suppliers, regions, and lots
• Moisture loss and other processing effects on finished product composition
• Errors or gaps in the ingredient data you enter into the platform
• Differences between USDA database averages and your actual ingredient brands

You are solely responsible for verifying all outputs before using them on commercial products, packaging, or regulatory submissions. Fond does not review or certify any output for regulatory compliance.

Allergen notice: Allergen detection is based solely on data in the Fond ingredient database and information you enter. You must independently verify all allergen declarations with your suppliers — and through laboratory testing where required — before applying any allergen statement to a commercial product. Allergen mislabeling is a leading cause of FDA-mandated recalls.

AI-assisted features: Spec sheet scanning uses AI and may contain errors or omissions. Review all AI-extracted data before relying on it commercially.

5. Subscriptions and Billing

Plans: Fond offers Free Trial, Growth ($49/mo or $39/mo annual), and Pro ($120/mo or $96/mo annual) plans. Pricing is subject to change with 30 days’ notice to existing subscribers.

Billing: Paid subscriptions are billed monthly or annually via Stripe. A valid payment method is required.

Cancellation: Cancel anytime through Account Settings. Cancellation takes effect at the end of the current billing period. Email or phone requests do not constitute cancellation. Fond does not issue refunds for partial billing periods unless required by law.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. FOND EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE ACCURACY OR REGULATORY COMPLIANCE OF PLATFORM OUTPUTS.

7. Limitation of Liability

This section limits Fond’s financial exposure. Please read it carefully.

TO THE FULLEST EXTENT PERMITTED BY LAW, FOND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, PRODUCT RECALL COSTS, REGULATORY FINES, OR THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF PLATFORM OUTPUTS.

FOND’S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO FOND IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100. THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND FOND.

8. Indemnification

You agree to indemnify and hold harmless Fond, its members, managers, and employees from any claims, damages, or costs (including attorneys’ fees) arising from: your use of platform outputs on commercial products; your failure to independently verify outputs; inaccurate data you enter into the platform; or any violation of these Terms.

9. Your Responsibilities

By using the platform you confirm that: all data you enter is accurate to the best of your knowledge; you will independently verify all outputs before commercial use; you will consult qualified regulatory or scientific professionals as needed to ensure label compliance; and you maintain appropriate insurance for your food products and business.

10. Termination

You may cancel your subscription anytime through Account Settings. Fond may suspend or terminate your access immediately if you materially breach these Terms, engage in conduct harmful to Fond or other users, or maintain a chronically overdue balance after notice.

Upon termination, your right to access the platform ceases. Sections 3, 4, 6, 7, 8, 12, and 13 survive termination.

11. Modifications

Fond may modify these Terms at any time. We will notify you by email at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance. If you don’t agree, cancel before the effective date.

12. Dispute Resolution

Before initiating formal proceedings, contact legal@fondnutrition.com with a written description of the dispute. Fond will attempt to resolve it within 30 days. If unresolved, disputes shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Portland, Oregon.

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS — NOT IN ANY CLASS OR REPRESENTATIVE ACTION.

13. General

Governing law: Oregon, without regard to conflict of law principles. Venue for non-arbitrated matters: Multnomah County, Oregon.

Contracting party: These Terms are an agreement with Fond Nutrition LLC, an Oregon LLC. No individual founder, member, or employee is personally a party.

Severability: If any provision is held unenforceable, the remaining Terms continue in effect.

Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Fond regarding the platform.

Assignment: You may not assign these Terms without Fond’s written consent. Fond may assign in connection with a merger or acquisition.
